Good morning, ladies and gentlemen. Welcome, and thank you for coming to the 2026 Annual Meeting of Stockholders of INmune Bio, Inc. My name is David Moss. I'm the President, Chief Executive Officer, Secretary Treasurer, and a member of the Board of Directors of the company, and I will act as chairperson of the meeting. We're excited to be hosting our virtual meeting, which allows us to be more inclusive and reach a greater number of our stockholders. As is our custom, we will conduct the business portion of our meeting first. We'll answer questions at the end of the meeting. Though we may not be able to answer every question, we will do our best to provide a response to as many as possible.

In keeping with the digital approach of this year's meetings, it's now shortly after 10:00 A.M. Eastern Time on June 16th. This meeting is officially called to order. Next, I would like to introduce Cory Ellspermann, Chief Financial Officer, who will act as Secretary of the meeting. Cory, would you please address some of the other formalities related to the meeting?

Thank you, David. Certain formalities are required to convene this meeting, after which the matters stated in the notice of this meeting and in the proxy statement which you received shall be addressed. An agenda that outlines the order of business for the meeting has been made available. Broadridge Financial Solutions has been appointed the independent inspector of election for this meeting. A representative of Broadridge Financial Solutions is with us today and has been duly sworn. As acting Secretary of the meeting, I will include the oaths and the inspectors of election and the reports of the inspectors of election when completed regarding the quorum and voting in the minutes of this meeting. After the formal meeting has been adjourned, we will provide time for general questions. Only validated stockholders may ask questions in the designated field in the web portal.

Out of consideration for others, please limit yourself to one question. Please note that this meeting is being recorded. No one attending via the webcast or telephone is permitted to use any audio recording device. The board fixed April 20th, 2026, as the record date for determining the stockholders entitled to vote at this meeting. An affidavit has been delivered confirming the notice of the meeting, proxy statement, and annual report were mailed on or about April 23rd, 2026. The affidavit will be incorporated into the meeting minutes. The stockholder list shows that as of the record date, there were 26,585,258 shares of common stock outstanding and entitled to vote at this meeting.

We are informed by the inspector of election that there are represented in person or by proxy shares of common stock representing 17,456,994 votes, or approximately 65.66% of the voting power on the record date, which means a quorum is present for purposes of transacting business. That completes the administrative formalities, and I turn the program back to you, David.

Thank you, Cory. Now I'll present the matters to be voted on. We will address any questions you may have regarding the business of the company later in the program. Proposal one is the election of directors. The current nominees are David Moss, Kelly Ganjei, Tim Schroeder, Scott Juda, and Marcia Allen for election as directors to hold office until the next annual meeting of stockholders or until their successors are duly elected and qualified. Proposal two is to ratify the appointment of CBIZ CPAs, P.C. as the company's independent registered public accounting firm for the year ended December 31st, 2026. Proposal three is to approve the third amended and restated INmune Bio, Inc 2021 Stock Incentive Plan. If any stockholder would like to make any comment regarding any of the proposals, please submit your comments through the web portal.

It is now 10:04 A.M. Eastern Time on June 16th, 2026, and the polls are now open. Any stockholder who hasn't yet voted or wishes to change the vote may do so by clicking on the voting button in the web portal and following the instructions there. Stockholders who have sent in proxies or voted via telephone or internet and do not want to change the vote do not need to take any further action.

Now that everyone has had the opportunity to vote, I declare the polls closed. We have been informed by the inspector of election that the preliminary vote shows that the aforementioned nominees for election to the board have been duly elected. The appointment of CBIZ CPAs P.C. as our independent registered public accounting firm for the year ending December 31st, 2026, has been approved, and the third amended and restated INmune Bio, Inc 2021 Stock Incentive Plan has been approved.

Thank you, Cory. On behalf of the company and the board, I want to thank our stockholders for their participation and engagement in today's meeting. I hereby accept the report and certification. I declare the resolutions proposed and voted on by stockholders have been approved. We will file the final vote results with the Securities and Exchange Commission in a Form 8-K within four business days. The affidavits of mailing, the oath and report of inspector of elections, and other relevant meeting materials will be incorporated into the minutes of this meeting. I'd like to open things up for stockholders' questions and comments. We will take stockholder questions that are being entered today on the web portal. Please note we'll attempt to answer as many questions as time allows, but only questions that are germane to the meeting will be addressed.
