Good morning, welcome to the Joby Aviation 2026 annual meeting of stockholders. My name is Teresa Thuruthiyil, and I'm Joby's Head of Investor Relations. This year, we are conducting Joby's annual meeting virtually via live audio webcast. After the meeting concludes, a replay of the webcast will be posted on our investor relations website at ir.jobyaviation.com. It is my pleasure to welcome you today on behalf of our team and to introduce the members of the board and management team who are joining us today. From our Board of Directors, we have JoeBen Bevirt, Founder and Chief Executive Officer of Joby, Paul Sciarra, our Executive Chairman, Aicha Evans, Michael Huerta, Tetsuo Ogawa, Halimah DeLaine Prado, Dipender Saluja, Michael Thompson, and Laura Wright.

From Joby's management team, we have Rodrigo Brumana, Chief Financial Officer, and Kate DeHoff, our Chief Legal Officer and Corporate Secretary, who will also be acting as Secretary of the meeting today. I would also like to introduce Jamie Jones of PricewaterhouseCoopers, LLP, Joby's independent registered public accounting firm, who is joining us online today and will be available during the Q&A session after the meeting to respond to appropriate questions. Please note that if you have already voted, you do not need to vote again. To begin, I'd like to turn the meeting over to Paul Sciarra, our Executive Chair, who will call the meeting to order and lead today's proceedings.

Thank you, Teresa, welcome everyone to the Joby Aviation 2026 annual stockholder meeting. The meeting will now officially come to order. We will start with the formal business of the meeting described in your notice of annual meeting and proxy statement. After that, we will provide time for relevant questions. Will the secretary please report to the stockholders list and the mailing of the notice of the meeting?

Thank you, Paul. I have a complete list of the stockholders of record of the company's common stock as of April seventh, 2026, which is the record date for this meeting. Broadridge has delivered an affidavit certifying that on or about April 21st, 2026, a notice of the annual meeting of stockholders was deposited in the U.S. mail to all stockholders of record at the close of business on the record date.

At this time, I'd like to introduce Jim Raitt of American Election Services, LLC, who is acting as Inspector of Elections at this meeting. Jim has taken the customary oath of office to execute his duties with strict impartiality. We will file this oath with the records of the meeting. I've been informed by the Inspector of Elections that proxies have been received for at least 741 million of the approximately 983 million shares of common stock outstanding on the record date, which represents approximately 75% of the total voting power of the outstanding shares. This constitutes a quorum for today's meeting, and we may now carry out the official business of the meeting. The polls open today, June 6, 2026, at 9:03 A.M. Pacific Time for voting on all matters to be presented.

There are a total of three proposals to be voted upon at this meeting, each of which is described in your proxy statement. The first item of business is the election of directors to hold office until the 2029 annual meeting of stockholders or until their respective successors are duly elected and qualified. The nominations for election are Paul Sciarra, Halimah DeLaine Prado, and Laura Wright. The second item of business is the ratification of the appointment of PricewaterhouseCoopers LLP as the company's independent registered public accounting firm for the fiscal year ending December 31, 2026. The third item of business is the approval on a non-binding advisory basis of the compensation of the company's named executive officers, also known as a say on pay vote.

If any stockholder would like to make a comment regarding any of the proposals, please submit your comment during the question and answer section of the web portal at this time. Stockholders who have sent in proxies or voted via telephone or the internet and do not wish to change their vote do not need to take any further action. Any stockholder who has not voted or wishes to change their vote may do so by clicking on the voting button at the bottom of the screen and following the instructions there. Only stockholders of record on April seventh, 2026 are eligible to vote at this meeting. We are now going to take a short pause to allow any stockholder who has not voted to do so. The time is now 9:05 A.M., and the polls are now closed. May we have the preliminary results of the voting?

The preliminary report of the Inspector of Elections indicates that the proposal to elect Paul Sciarra, Halimah DeLaine Prado, and Laura Wright as directors of the company has passed. The appointment of PwC as the company's independent registered public accounting firm for the fiscal year ended December 31st, 2026 is ratified, and the proposal to approve on a non-binding advisory basis the compensation of the company's named executive officers has passed. The final voting results will be set forth in the report of the Inspector of Election, which will be included as part of the record of the meeting. We expect to report our final voting results on a current report on Form 8-K to be filed with the SEC within four business days after the end of this meeting.
