Hello, welcome to the annual meeting of stockholders of Kimberly-Clark Corporation. Please note that today's meeting is being recorded. During the meeting, we have a question-and-answer session. You can submit questions or comments at any time by clicking on the Q&A tab. It is now my pleasure to turn today's meeting over to Mike Hsu, Chairman and CEO of Kimberly-Clark. Mr. Hsu, the floor is yours.

Good morning, everyone, welcome to Kimberly-Clark's annual meeting. This meeting is called to order. Before we get started with the business of the meeting, I wanna take a moment to acknowledge Kimberly-Clark's recent 150th anniversary, which is a significant milestone. We are proud of our heritage of category-defining innovation rooted in providing care for our consumers. As we look to the future, we will continue to drive our strategy to deliver profitable growth for long-term value creation as we fulfill our purpose of better care for a better world. I'd like to now introduce Alison Rhoten, our Corporate Secretary, who will serve as the secretary for today's meeting.

All right. Thanks, Mike. I will first go over a few housekeeping matters. Today's virtual-only meeting is a live webcast. Through the meeting portal, you'll find our agenda and rules of conduct. The portal also has links to our annual report and our proxy materials for the meeting. A representative from our Inspector of Election is in attendance and has confirmed that a quorum is present today. If you've not voted or wish to change your vote, you may do so during today's meeting through the virtual meeting portal by clicking on the Vote icon located in the upper right corner of your screen. Any stockholder who has already voted and does not want to change his or her vote need not take any further action. The polls are now open. We will accept votes until the polls close later in the meeting.

Feel free to ask a question at any time during the meeting by clicking the Message icon in the upper right-hand corner of your screen. We will respond to questions and comments later in the meeting after we close the polls. We have four proposals for this meeting. Number one, the election of 12 directors. Number two, the ratification of the selection of our independent auditors. Number three, approval of the compensation of our named executive officers and f our, a vote on the frequency of future stockholder votes on executive compensation. Each proposal is described in our 2023 proxy statement. Mike, I will now ask for a motion that these four proposals be approved.

I second the motion. I would now like to introduce our director nominees who are all in attendance on today's call. Sylvia Burwell, John Culver, Mike Hsu, who is our board chair, Mae Jemison, Todd Maclin, Deirdre Mahlan, Sheri McCoy, Christa Quarles, Jaime Ramirez, Dunia Shive, Mark Smucker, and Mike White. We would like to take a moment to express our deep gratitude to Robert Decherd, who will be retiring from the board at the conclusion of today's meeting after 27 years of dedicated service to Kimberly-Clark and our stockholders. Robert's strategic vision, business insights, commitment to governance and director refreshment, and camaraderie will be missed from the board's deliberations, and we thank him for his significant contributions. Also joining this meeting are representatives of Deloitte, our independent auditors. Bill McFarland, who is the partner in charge of our 2023 audit, is in attendance today.

I now declare that the polls are closed. The Inspector of Election has advised me, based on preliminary voting results, that all 12 nominees have been elected to the board, our stockholders have approved the proposals to ratify our independent auditors and approve our executive compensation, and our stockholders have indicated their preference that future votes and executive compensation be held on an annual basis. We will announce the final voting results in a current report on Form 8-K to be filed with the SEC within four business days of today's meeting. We will now consider any questions you may have about Kimberly-Clark. Mike, I note that we've not received any questions via the portal.
