The Board of Cheniere Energy Inc. And it's my pleasure to welcome all of you to our Annual Meeting of Shareholders. It's 9 a. M, and in accordance with the notice of the meeting, I call to order the Annual Meeting of Shareholders of Cheniere Energy, Inc. I would like to make a few announcements with respect to the conduct of today's meeting. Please note that you should not vote during this meeting if you have already completed and returned a proxy card or otherwise voted, unless you wish to change the voting instruction you previously submitted. You may vote online through the meeting website during the course of the meeting. Following the voting, We will open the meeting to shareholders' questions. Before proceeding to the business of the meeting, I would like to introduce the other directors to the Executive Officers of Cheniere. The director nominees who are able to join this morning are Jack Fusco, our President and Chief Executive Officer Vicki Bailey, Nuno Brandorini, David Kilpatrick, Sean Klintzak, Andrew Langham, Donald Robillard, Nir Shear and Andrew Tino. Executive officers that are in attendance today are Anatol Fagan, Executive VP and Chief Commercial Officer Sean Markowitz, Executive VP, Chief Legal Officer and Corporate Secretary Corey Grindahl, Executive VP, Worldwide Trading Zach Davis, Senior Vice President and Chief Financial Officer David Kraft, Senior Vice President, Engineering and Construction Scott Culberson, Senior Vice President, Gas Supply Michael Doe, Senior Vice President, Shared Services Christopher Smith, Senior VP, Policy, Government and Public Affairs Aaron Stephenson, Senior Vice President, Operation Len Travis, Senior Vice President and Chief Accounting Officer Hilary Ware, Senior Vice President and Chief Human Resource Officer Tim Wyatt, Senior VP, Corporate Development and Strategy Eric Bensaud, Managing Director, Commercial Operation and Ramzi Mora, Managing Director Origination. Sean Markovich will now report on the mailing of the notice of this meeting and the presence of the quarter. Thank you, Andrea. This meeting is held pursuant to notice mailed on or about April 9, 2021, to each shareholder of record on March 29, 2021. A list of shareholders entitled to vote at this meeting has been available at the company's headquarters for the past 10 days and is available during this meeting for examination on the website used to access the meeting by any shareholder desiring to do so. All documents concerning this call and notice of the meeting will be filed with the records of the meeting. We have present today, including by proxy, holders of at least 211,116,000 754 shares of the company's voting capital stock. This is 83.27 percent of the outstanding voting shares of the company. Required quorum is a majority of outstanding voting stock. Thank you. I hereby declare a quorum present at the meeting. Sean Markowitz and Sean Bank are serving as Inspectors of Election and Broadridge Financial Solution, an independent third party We perform the tabulation of proxies and ballots. The next order of business is to vote on the items as outlined in the proxy statement. Item 1 is the election of directors. The 10 nominees for the election as directors are Jan Andrea Botta, Jack Fusco, Vicki Bely, Nuno Brandolini, David Kilpatrick, Sean Klinsak, Andrew Langham, Donald Robila, Jr, Neil Shearer and Andrew Tino. Additional information about each of these directors is available in the proxy statement. I declare that they are duly dominated. Item number 2 It's the advisory and non binding votes to approve the compensation for the companies named Executive Officer for 20 21? 2020. 2020. Item 3 is the ratification on an advisory and non binding basis of KPMG LLP as independent registered public accounting firm for 2021. This concludes the introduction of the proposal to be presented at the meeting. The polls for voting on all matters before this meeting I hereby open at this time. If you have not voted yet or wish to change your previously cast vote, Please do so via the website used to access this meeting. Please remember that if you have already voted by proxy, It's not necessary to vote again. Purpose for voting on the matters before this meeting I abide closed. A preliminary report from the Specters of Elections shows that Jan Andrea Botha, Jack Fusco, Vicky Bailey, Nuno Brandolini, David Kilpatrick, Sean Klimczak, Andrew Langham, Donald Robillard, Jr, Neil Shear and Andrew Tino have been elected to serve as directors of Cheniere Energy, Inc, each to hold office for a 1 year term expiring at the 2022 Annual Meeting of Shareholders. The preliminary part also shows that on an advisory and non binding basis, the shareholders approved the compensation of the company named Executive Officer for 2020. On an advisory and non binding basis, the shareholders ratified the appointment of KPMG LLP as the company independent registered public accounting firm for 2021. That concludes the order of business as outlined in the proxy statement. The business portion of the meeting is now closed, And the meeting is officially adjourned.
