AGM 2026

Apr 21, 2026

Jagadeesh Reddy
President and CEO, Mayville Engineering Company

Good afternoon. I am Jag Reddy, President and Chief Executive Officer of Mayville Engineering Company, Inc., or MEC. On behalf of our company, I want to welcome you to our 2026 annual meeting of shareholders. As you know, we are holding the annual meeting online. We have worked to offer the same participation opportunities as would be provided at an in-person annual meeting and are pleased to have each of you in attendance virtually. It is now 2:00 P.M. Central Time on April 21st, 2026, and I call the meeting to order. If you have not voted yet, please do so now, as we will close the polls in a few minutes. You may vote by clicking on the voting button on the web portal and following the instructions there.

Our first action in the general order of business today will be to act upon the business of the meeting. We will then receive a report about the voting results, and after that, we will be glad to answer any questions you may have about MEC. Before we begin the business portion of this meeting, I would like to introduce several individuals. First, I would like to introduce the other directors of the company, in addition to myself. Timothy L. Christen, Non-Executive Chairman of our Board of Directors and Chairman Emeritus, Baker Tilly. Jennifer J. Kent, Chief Legal Officer and Corporate Secretary of Kohl's Corporation. Robert L. McCormick, Retired President and Chief Executive Officer of Douglas Dynamics. Jay O. Rothman, former Chairman and Chief Executive Officer of Foley & Lardner. Tania L. Wingfield, Executive Vice President and Chief Human Resources Officer of BorgWarner Inc.

Also joining us today are Christine M. Schyvinck, a director nominee to join the company's board of directors and is Chairman, President, and Chief Executive Officer of Shure Incorporated, as well as Steve L. Fisher, retired Vice President of Caterpillar Inc. Steve has served on the board since 2013 and is retiring from our board today. We are grateful for Steve's contributions to MEC and wish him well in the future. Next, I would like to introduce the other executive officers of the company in addition to myself. Rachele M. Lehr, our Chief Financial Officer, Ryan F. Raber, our Executive Vice President, Strategy, Sales, and Marketing, Craig D. Nichols, our Senior Vice President, Operations and Supply Chain, and Sean P. Leuba, our Senior Vice President, General Counsel, and Secretary.

It is now 2:03 P.M. Central Time, and because everyone has now had the chance to vote, I hereby declare that polls are closed. Please note that this meeting is being recorded. However, no one attending via the webcast is permitted to use any audio recording device. Serving as Inspector of Elections for today's meeting is Sean P. Leuba, MEC's General Counsel and Secretary. I now ask Sean whether proper notice was given for this meeting and whether a quorum is present.

Sean Leuba
Senior Vice President, General Counsel, and Secretary, Mayville Engineering Company

Thank you, Jag. I have in my possession a list of shareholders entitled to vote at this meeting and an affidavit of service of notice of the meeting, certifying that the notice of meeting, proxy statement, and annual report were properly mailed to those shareholders. The shareholders list is available for inspection by any shareholder of MEC on the website for this virtual meeting as set forth in the notice of meeting, www.virtualshareholdermeeting.com/mec2026, by using your control number found on your proxy card. With respect to the determination of a quorum, there are present at the meeting, in person or by proxy, approximately 89% of the total number of shares of common stock entitled to be cast as of February 20th, 2026, the record date for this meeting. This constitutes a quorum under the bylaws of the Mayville Engineering Company, Inc.

Thank you, Sean. Since a quorum is present, this meeting will therefore proceed. The first item of business is the election of three directors. Robert L. McCormick, Christine M. Schyvinck, and Tania L. Wingfield are nominated as directors to serve until the 2029 annual meeting of shareholders and until their successors are duly elected and qualified. The second item of business is the ratification of the appointment of Deloitte & Touche LLP as the company's independent registered public accounting firm for 2026. The third item and final item of business is an advisory vote to approve the compensation of our named executive officers. I am now asking Sean, the inspector, for a report on the votes.

Thank you. Based on the voting, the director nominees have each been properly elected. The shareholders have ratified the appointment of Deloitte & Touche LLP as the company's independent registered public accounting firm for 2026. The shareholders, on an advisory basis, have approved the compensation of our named executives.

I hereby direct the results of the voting to be incorporated into the minutes of the meeting. That completes our official business agenda for today. Consequently, I declare the business portion of the meeting adjourned. Now, we will be glad to address any questions you may have about MEC. Representatives of Deloitte & Touche, our independent registered public accounting firm, are also available to respond to appropriate questions you may have. As a reminder, shareholders can submit questions now on the web portal for this meeting. Out of consideration for others, please limit your question to one. We will attempt to answer as many questions as time allows, but only questions that are germane to the meeting and/or our business will be addressed. At this time, there are no questions on our portal. Thank you for attending our virtual 2026 annual meeting. We appreciate your continued support for MEC.
