Good afternoon, everyone, welcome to the Nortech Systems Annual Shareholder Meeting. I am Andy LaFrence, the company's CFO. I'm here with our President and CEO, Jay Miller. We're scheduled to begin at 3:00 P.M., I will now call this meeting to order. We are pleased that you have joined us for our 2026 annual meeting. I will oversee the official business portion of the meeting. First, I'd like to acknowledge two of our key business partners. From our audit firm, Baker Tilly, Matthew Tredinnick and Matt Mohs, and from our legal firm, Insitu Law, Mark Hooley. The nominees to our board of directors are Amy Fredregill, Director, Chair of our Nominating and Corporate Governance Committee. Stacy A. Kruse, Director, Chair of our Audit Committee. David B. Kunin, Director and Chair of the Board. Ryan P. McManus.
Director, Chair of our Science and Technology Committee. J.D. Miller, Director and President and CEO of Nortech Systems. Jose A. Peris, Director, Chair of our Compensation and Talent Committee. Next, we're going to take care of the formal business portion of the meeting. The record date for this meeting was March 20th, 2026. The holders of the company's common stock at the close of business on that day were entitled to notice and are entitled to vote on matters brought before this meeting. I have been informed that a majority of the shareholders entitled to vote at the meeting are either represented at this meeting in person or by proxy, and accordingly, a quorum is present. Broadridge Financial Solutions, Inc. has been appointed to act as the inspector of elections for this meeting.
The proposals to be voted upon at this meeting are: to elect six members of the board of directors to serve for a one-year term and until their successors are elected and qualified. To approve on an advisory basis the compensation of our named executive officers. Three, to approve the Nortech Systems Incorporated 2026 Equity Incentive Plan. Four, to ratify the appointment of the independent registered public accounting firm, Baker Tilly US, LLP, for fiscal 2026. Excuse me. Please note that if your shares are held of record by a broker, a bank, or other nominee and you wish to vote now, you are required to have a legal proxy issued in your name from the record holder. That legal proxy will need to be attached to the email along with your virtual ballot. Are there any questions or comments on matters before the shareholders at this meeting?
