Sally Washlow
CEO, Orion Energy Systems

Thank you, Robert, and thank you, everyone, for joining us today. As Robert covered the basics, I am the CEO of Orion Energy Systems, and today I will be sharing with you some highlights of our company. I'll start with the organizational mission. We help our customers achieve their sustainability, energy savings, and carbon footprint reduction goals through innovative technology and exceptional service. At a glance, Orion provides optimally efficient LED lighting systems, commercial and industrial EV charging infrastructure solutions, and lighting and electrical maintenance and managed services, which I'll go into a deeper conversation on all of them in a few minutes. On the right here is an image of our Wisconsin manufacturing facility where we build some of the LED lighting systems.

We believe we are an attractive investment opportunity with recent share price around $8.77 and a market cap of $31 million and our trailing 12-month sales of just under $80 million. In terms of investment merits, we do bring diversified revenue streams in EV, lighting, and maintenance. Within those segments, we have recurring revenue capabilities and have optimized our cost structure, which will unlock our operating leverage, bringing $6.5 million in annualized overhead reductions. We have a strong and long-term customer base, nimble engineering and customization for our customers, along with a proprietary supply chain with manufacturing flexibility, and over 10% of our ownership is held within directors and officers. In terms of our business segments, we go to market with lighting, maintenance and technical services, and EV charging systems. Within lighting is our capability to design, manufacture, and install energy-efficient LED lighting systems.

We have completed over 25,000 projects with a strong focus on commercial and industrial retrofit LED lighting systems. We have products that service interior and exterior applications, also have deep control options, including IoT. We have multiple go-to-market models, including turnkey, which I'll share a bit more about in coming slides, and we have many repeat clients. In terms of maintenance and technical services, here we have the ability to deliver recurring services across lighting and EV systems. Within this, we support lighting, electrical, and EV maintenance services. We provide preventative and reactive services, along with supporting our customers with special projects that they might come to us with. Within many of these are three-year contracts, which provide recurring revenue as a base of our maintenance and technical services. EV charging is a segment where we provide end-to-end commercial EV charging solutions.

We help support the site design, installation, and commissioning through our turnkey installation. We work with leading equipment suppliers such as ChargePoint and ABB, and we support Level 2 and DC Fast Charge Level 3. We have national execution capabilities, and within this segment, we also provide networking and maintenance, which affords recurring revenue. We believe Orion has nimble technology and unrivaled ROI for our customers. Here are a few examples in terms of our value-adds and competitive advantages. We provide industry-leading technology and design that provides the highest energy efficiency and smart design delivered to our customers. We often are working with them from the beginning of the project, utilizing our engineering and manufacturing capabilities to achieve the highest ROI for them. Our unique turnkey capability allows us to execute the projects from concept to completion. We are there with our customers through the entire process.

We have design and manufacturing flexibility, which affords us a flexible and cost-effective supply chain. With our US-based manufacturing, which you can see on the left here, we have over 266,000 sq ft that can enable our customers to be in compliance with the BAA and BABA. We also have the ability to work with our global supply chain and bring in product from our various partners throughout the globe. We have an accelerated product development model, which can often bring products to market in four to six months versus the 12 months that our competitors often are facing, and that enables market leadership for us. Our broad sales reach enables us to have national accounts, an agent network, ESCOs, and resellers. We have a blue-chip customer base with repeat business, which allows us access to the retrofit and connected ceiling and IoT opportunities.

A deeper dive into lighting here is that with our custom manufacturing, we can provide an unrivaled response. Our proprietary manufacturing approach through our facility in Manitowoc, Wisconsin, and our global partner network affords us the most flexibility when working with our customers on projects. We also maintain a significant component, material, and finished goods inventory so we can be there for our customers for quick turnaround projects. We have custom manufacturing capability for specific national accounts and rollouts, and as I've mentioned, we are BAA and BABA compliant with many of our products that we build in our Manitowoc, Wisconsin facility. In our maintenance and managed services group, this affords recurring maintenance revenue. We offer preventative and reactive lighting, electrical services, and EV maintenance. Preventative really helps our customers know upfront if something might be failing in the future because of the preventative trips that we make.

We're often able to diagnose things early for our customers so that we can fix them before anybody needs to be reactive. We have a nationwide network of skilled and certified lighting and electrical professionals, and we have a dedicated 24-hour response for any emergency or non-emergency lighting and electrical issues. In our EV charging segment, we bring 15 years of expertise in this segment through the acquisition of Voltrek. We are a premier reseller of leading EV charging stations and a turnkey full-service provider. We are a contractor-preferred equipment supplier through ChargePoint, ABB, InCharge, and others. We have 7,300 charging ports under our management, and within that, we have networking, maintenance, and recurring revenue. We are partnered with utilities in their Make Ready programs, and in this segment, we also have national coverage. Here you will see an installation that we did at the Hilton in Watertown, New York.

I mentioned earlier our turnkey capabilities. Here is where Orion brings discreet, bespoke, and turnkey capabilities to projects both large and small. You can see that it starts with the facility audit. We're working on the design needs, bringing them to manufacturing, installation, helping our customers with rebate, warranty, and then coming back around and being there for maintenance. This is a unique model that only Orion brings to many of our customers, and that is why we serve as the preferred U.S. provider for Fortune 100 and other global leaders in industries ranging from manufacturing, retail, to logistics. Here are just a few examples of our strong client base that we have decades of experience. You can see we service food and beverage from Coca-Cola and Pepsi, the automotive customers, Toyota and Ford, distribution and retail, Amazon, Kroger, Costco, US Foods.

Oftentimes in these specialized logistics in the food and beverage, we have special lighting that can deal with the extreme temperatures of refrigeration and freezing as well. We work with government entities such as the US Navy and the United States Postal Service, along with several other blue-chip customers. A few examples to bring to light some of our case studies. A recent example is a work that we did with Clareos. The goal was to maximize energy savings and optimize the visual environment of the 100,000 sq ft Florence, Kentucky facility by replacing their outdated and inefficient fluorescent technology. Clareos wanted a one-for-one fixture replacement for their fluorescent troffers and linear high bay fixtures. What you can see below is a before and after.

The result was 800 fixtures were installed and over close to $55,000 of annual energy cost reduction and 218 tons of annual carbon dioxide reduction as well. It was a great result for Clareos, not only for the energy savings and reduction, but also for their workforce and the environment that they worked in. EV charging, as I mentioned, we mainly work on fleets, and here is an example of a turnkey Level 3 charging installation at the Haverhill High School supporting their EV transit vans. We supported this initiative supplying six DC ChargePoint fast charging stations to enable their Ford E-Transit vans for transporting students with special needs. You might have also seen in recent press releases the work that we've been doing with the Boston Public Schools system as they electrify their entire fleet of school buses for the city of Boston.

In summary, how we achieve our mission is that we are a one-source solution for LED lighting and EV charging projects. We have provided substantial reduction in energy costs for LED projects, averaging a payback of one to four years. We have advanced product design and a product portfolio that affords the highest lumen per watt performance in the industry. We have a flexible supply chain and manufacturing footprint, including a US-based manufacturing facility, and we have recently expanded our product portfolio to include exterior products and a Triton Pro contractor line to hit certain price points. We have multiple go-to-market models, including our Orion turnkey project management to match customer needs and expanded our lighting maintenance services. A briefing of Orion Senior Management. Myself, I joined the board in 2022 and was appointed the CEO in April of 2025.

Prior experience, I was the COO and President of Cobra Electronics, which transformed to Cedar Electronics under private equity ownership. Per Brodin joined as the Executive Vice President and CFO in November of 2020. He has over 30 years of experience as a financial executive spanning public accounting and corporate roles. Scott Green, our COO, was prior with Harris Lighting that Orion acquired in 2013. He brings a wealth of knowledge in the lighting industry. A summary of our quarterly revenue, margin, EBITDA, and liquidity data here. I'll note just a few things on this page. As I mentioned earlier, our trailing 12 months is just under $80 million. If you look at our gross margin, we have steadily been improving our gross margin with the recent quarter hitting 30%. This concludes the Orion presentation, and I want to thank all of you for joining us today.

Robert, I'll turn it back over to you.
