Good morning. I'd like to introduce Stacy Giamalis, PagerDuty's Senior Vice President, General Counsel, and Secretary, to open today's meeting.
Welcome to our 2020 Annual Meeting of Stockholders. It is my pleasure to introduce to you PagerDuty's Chief Executive Officer, Jennifer Tejada. Jen, who is also the Chair of our Board of Directors, will chair today's Annual Meeting.
Thank you, Stacy, and welcome everyone to our first Annual Stockholder Meeting as a public company. We are all living and working in an unprecedented environment as we continue to confront the evolving global impact of the COVID-19 pandemic. We hope all of you are well and appreciate you attending our Annual Meeting today. For PagerDuty, the pandemic and recession have reinforced our values, which center around leadership, inclusion, and equality, accountability, innovation, and the success of our customers and our people. We have always believed trust and time are society's most valuable currencies, and never has this been more true. Our mission, to elevate teams to the work that matters most, is more relevant than ever as every business seeks to protect its hard-won customer relationships and adapts to operate more efficiently and safely in order to protect lives and jobs.
PagerDuty was built for this, and we appreciate your ongoing support of our company. I'd now like to make a few introductions before handing things back to Stacy to take us through the formal portion of today's meeting. First, I'd like to introduce you to the members of our Board of Directors and the management team who are with us today. The other members of the board who are virtually present are Alex Solomon, our founder and CTO, Sameer Dholakia, Elena Gomez, Rathi Murthy, and Zack Nelson. John O'Farrell, who is with us today, and Ethan Kurzweil, who could not be with us today, are each not standing for re-election. We would like to thank them both for their years of service on our board.
The other PagerDuty executives with us today are Howard Wilson, our Chief Financial Officer, Stacy Feinerman, our Vice President of Investor Relations, and Serena Roberts, our Vice President of Legal. I would also like to introduce Ibi Krukrubo, representing Ernst & Young LLP, our independent registered public accounting firm, and David Ambler, representing Cooley LLP, our outside legal counsel.
Okay, we'll call the meeting to order now. We'll proceed with the formal business of the meeting in the order contained in the Notice of Annual Meeting and Proxy Statement. After the formal part of the meeting, we will adjourn the meeting and then offer a brief Q&A.
Will the Secretary please report on the mailing of Notice of the Meeting and the list of stockholders?
Yes, I have with me a complete list of the stockholders of record of PagerDuty's common stock on April 17, 2020, which is the record date for this meeting. I also have an affidavit certifying that starting May 4, 2020, the Notice of the Annual Meeting of Stockholders of the Company was mailed to all stockholders of record at the close of business on April 17, 2020.
I am appointing Serena Roberts, our Vice President of Legal, to act as the Inspector of Election for this meeting. Her function is to decide upon the qualification of voters, accept their votes, and when balloting on all matters is completed, to tally the final votes. Serena has subscribed to the customary oath of office to execute her duties with strict impartiality. We will file this oath with the records of this meeting. Will the Secretary please report on the existence of a quorum?
I have been informed by the Inspector of Election that proxies have been received for approximately 71% of the aggregate voting power of the outstanding shares of common stock that are entitled to vote at this meeting. This constitutes a quorum for the meeting today, so we will now proceed to conduct the formal business of the meeting. There are two proposals to be considered by the stockholders at this meeting. The time is now 10:04 A.M. on Tuesday, June 16, 2020, and the voting is now open for all matters that are presented. The polls will be closed to voting after we go through the matters to be voted on. The agenda and rules of conduct for the meeting are posted on the Annual Meeting portal. We ask that you follow these rules to help the meeting run smoothly.
We will address questions during the Q&A portion of the meeting. If you have a question, please submit it by entering it into the Ask a Question text box on the bottom left-hand corner of the Annual Meeting portal. The first item of business at this Annual Meeting is the election of two Class I Directors to serve until the 2023 Annual Meeting of Stockholders or until their successors are duly elected. The nominees for Class 1 Director are Jennifer Tejada and Sameer Dholakia. The second item of business today is the ratification of the Audit Committee's selection of Ernst & Young LLP as our independent registered public accounting firm for the fiscal year ending January 31st, 2021. As I mentioned, the voting is open for all matters that are presented.
If you have already submitted your vote by proxy and you do not wish to change your vote, you do not need to vote now, and your shares will be voted as previously instructed. If you intend to vote and have not already done so, please submit your vote online now in order for it to be counted. We will now provide a short pause for voting. Do we have the preliminary voting results?
We do. We have been informed by the Inspector of Election that the preliminary vote report covering the proposals presented at this meeting is as follows. The proposal to elect each of Jennifer Tejada and Sameer Dholakia as Class Directors of PagerDuty is approved. The selection of Ernst & Young LLP as PagerDuty's independent registered public accounting firm for the fiscal year ending January 31, 2021, is ratified. We will be reporting the final vote results in a Form 8-K to be filed with the Securities and Exchange Commission within four business days from today.

There are no questions today from our stockholders, so I will turn it back over to. Oh, excuse me, we did just have one question come in. The question is, how does the company consider the issue of diversity, particularly ethnic and racial diversity? Diversity has been shown to enhance decision-making and provide protection against the potential of insularity and groupthink. Thank you, and that is from John White of the New York State Common Retirement Fund. Jen, that is the question.
John, thank you so much for your question. Diversity, inclusion, and equality is something we take very seriously at PagerDuty. We essentially have developed a balanced board leadership, and more than half of our managers are made up of underrepresented people. In fact, 80% of our people team are underrepresented as well.
We continue to put systemic or systematic programs in place to ensure that not only our identification of talent and hiring practices are without bias and support the ability for us to bring diverse talent into our organization, but that we've built and developed a culture that creates a sense of belonging for our employees, including having a number of funded employee resource groups for people of color, for women, for the LGBTQ community, as well as ensuring that all of our hiring managers are trained in understanding bias and providing practices within the interview process and management process from a diversity standpoint. I have taken a very clear and public stance on this, and while we know we have a lot of work to do, we will continue to try and set an example of an inclusive and equitable company in the tech industry.
In fact, this Friday, we are celebrating Juneteenth, a day of change, where we are closing the business and asking all of our employees to educate, protest or demonstrate peacefully, or participate in other forms of activism to try and drive change in our industry and society and beyond.
