I'm Anthony Wood, Roku's CEO and Chairman of the Board of Directors. I'd like to welcome you to this special meeting of Roku's stockholders. The meeting will now officially come to order. I will ask Christy Lillquist, Roku's Corporate Secretary, to proceed with the formal business of the meeting as described in the special meeting notice and proxy statement.
Thank you, Anthony. I'd like to acknowledge the members of the Board of Directors who are with us today, Jeff Hastings, Laurie Hodrick, Neil Hunt, Gina Luna, and Ray Rothrock. I'd also like to introduce Chris Handman, our General Counsel. Today's business is described in the proxy statement for this meeting, which was first made available on or about September 1st, 2026. Please note that attendees are not permitted to record today's meeting. Beth VanDerbeck of Carideo Group has taken an oath to act as our Inspector of Election. As the Inspector of Election, Beth is responsible for counting the votes cast on the matters noted in our proxy statement and providing the vote results.
All proxies received by management have been delivered for tabulation. The Board of Directors set August 27th, 2026, as the record date for this meeting. A list of our stockholders of record as of that date has been available at our headquarters for inspection by any requesting stockholder for at least the past 10 days. Stockholders attending this meeting may vote their shares online until the polls are closed. If you have sent in a proxy, your vote will be counted automatically without any further action on your part. If you are eligible to vote and have not submitted your proxy, or if you want to change your vote, you may do so by following the instructions in the meeting portal.
After voting has been completed on all matters, we will close the polls, and the Inspector of Election will provide her preliminary report. The Inspector of Election has informed me that stockholders representing a majority of the voting power of the shares of our Class A and Class C common stock outstanding on the record date, voting as a single class, are present in person or by proxy virtually. This constitutes a quorum for today's meeting. Any additional votes may be submitted online through the meeting portal. The polls have been open for voting since 12:30 P.M. Pacific Time. The polls will close after we review the proposals for consideration.
The first item of business stated in the proxy statement is to vote to adopt the agreement and plan of merger, as it may be amended, restated, or otherwise modified from time to time in accordance with its terms. Dated June 14th, 2026, by and among Roku, Inc, Fox Corporation, Falcon Merger Sub 1, Inc, and Falcon Merger Sub 2, LLC, and the transactions contemplated thereby, including the mergers contemplated therein.
We will call this the merger proposal. The second item of business stated in the proxy statement is to vote to approve, on a non-binding advisory basis, the compensation that may be paid or become payable to the named Executive Officers of Roku that is based on or otherwise in connection with the transactions contemplated by the earlier mentioned merger agreement. We will call this the merger-related compensation proposal.
The third item of business stated in the proxy statement is to vote to approve the adjournment of this meeting to a later date or dates if necessary or appropriate to solicit additional proxies if there are insufficient votes for the approval of the merger proposal at the time of this special meeting. We will call this proposal the adjournment proposal. We can now move on to the vote. If you are voting today, you must submit your votes at this time on the web portal for them to be counted by the Inspector of Election. The Inspector of Election will not accept proxies, ballots, or votes, or any changes or revocations submitted after the closing of the polls.
The Inspector of Election will tabulate the votes in accordance with standard procedures, and the results of the balloting will be certified by the Inspector of Election. We will now give everyone a moment to submit ballots through the meeting portal. The time is now 12:35 P.M. Pacific Time, and the polls are closed for voting. The Inspector of Election has tallied the votes, and the preliminary votes are as follows. The merger proposal has been approved by the affirmative vote of the holders of a majority of the outstanding shares entitled to vote on the proposal.
The merger-related compensation proposal has been approved by the affirmative vote of the holders of a majority of the outstanding shares entitled to vote on the proposal. Because the merger proposal has been approved, we will not address the adjournment proposal. The final report of the Inspector of Election will be filed with the minutes of this meeting. We will report our final voting results on a Form 8-K to be filed with the Securities and Exchange Commission within four business days after this meeting. This completes the business to be conducted at this meeting, and it is now adjourned. Thank you for attending today's meeting.
The conference has now concluded. Thank you for attending today's presentation. You may now disconnect.
