I would now like to turn the meeting over to Mr. Chad Collins, Chief Executive Officer of SPS Commerce. Please go ahead, sir.

Good morning, ladies and gentlemen. Thank you for joining us today. I am Chad Collins, Chief Executive Officer and a Director of SPS Commerce, and it is my pleasure to welcome all of you to the 2026 SPS Commerce Annual Meeting of Stockholders. At the request of our chairman, I call this meeting to order and announce that the polls are now open. First, I would like to note that our other directors are in attendance today. Jonathan Zimmerman of Faegre Drinker, our legal counsel, is attending the meeting and serving as the inspector of the election. Also present today is Paul Patfield with KPMG, our independent auditor. Today's agenda is straightforward. I will address certain procedural matters, outline the matters being voted on, announce the results of the vote, and conclude the formal portion of the meeting.

Most stockholders have already voted by proxy, and those proxy votes have been tallied. Stockholders of record may vote during the meeting, which you should do so at this time by pressing the Vote Here button. If you have already voted by proxy, you do not need to vote during the meeting or take any other action at this time. A valid quorum is present. There are three items to be considered today. First is the election of nine directors, each to serve until the election of directors at the 2027 annual meeting of stockholders. The nominees were set forth in the proxy statement and are as follows: Chad Collins, Fumbi Chima, Razat Gaurav, Michael McConnell, Mark Partin, Marty Réaume, Tami Reller, Philip Soran, and Anne Sempowski Ward.

The second item is the ratification of the selection of KPMG LLP as the company's independent auditor for the current fiscal year ending December 31st, 2026. The third item is an advisory vote on the company's compensation of its named executive officers, often referred to as a say on pay vote. Information regarding the company's executive compensation plans and payments is disclosed in detail in the proxy statement for this meeting. The board of directors recommends a vote for the election of each of the nominees for director, for the ratification of the selection of KPMG as the company's independent auditor for the fiscal year ending December 31st, 2026, and for advisory approval of the compensation of our named executive officers. I will now pause to permit any additional votes to be submitted. The polls are now closed.

I am pleased to announce the approval of the election of the nine director nominees, the ratification of the appointment of KPMG, and the compensation paid to the company's named executive officers on an advisory basis. The exact vote totals will be certified by the Inspector of Election and incorporated in the minutes of today's meeting and will also be filed with the SEC on a Form 8-K within four business days of this meeting. This concludes the formal portion of today's meeting. Accordingly, the meeting is adjourned. For stockholder questions that have been submitted, we will follow up at a later time.
