Good morning, and welcome to Teradata Corporation Annual Meeting of Stockholders. I will now turn it over to Michael Genoni, Teradata's chairman of the board to begin the meeting.
Good morning. I'm Mike Genoni, chairman of Teradata. And it's my pleasure to welcome you to Teradata's 2020 annual meeting of stockholders. This virtual meeting will be conducted in accordance with the agenda, and rules for the meeting that are posted on a meeting webpage. In accordance with the notice of meeting, I call this annual meeting of CareDana stockholders to order.
Also joining us today is Maui Teresa, the company's Deputy General Counsel And Corporate Secretary. Who is acting as secretary of the meeting and other members of Teradata's management team. At this time, I would like to turn the meeting over to Molly as secretary of the meeting and ask that she introduce the directors and others who are joining this meeting. She will also introduce the items of the business that will be covered and walk through the voting mechanics for the meeting. Molly?

Let the record reflect that all of the Teradata's directors have joined the virtual meeting today, including Lisa Bachus, Tim Chaw, Dan Fishback, Carrie Fu, Dave Kepler, Kim Nelson, Joanne Olsen, Jim Wrangler, John Schwartz, Vic Lund, who is also Teradata's Interim CEO and Mike Gianani, Chairman of the Board. In addition, joining the meeting, we also have representatives of PwC, our independent auditors and a representative of Broadridge Finance Solutions who will serve as the Inspector of Election for this meeting to receive proxies, to count the votes, and to report the results of the voting. The inspector has previously been duly sworn and has completed the examination of proxies. As indicated in last week's public announcement regarding this meeting, Due to the quiet period, currently in effect, today's meeting will not include a management presentation or a business or financial update.
Also, in lieu of a question and answer session today, questions for Teradata's Management may be directed to Investor Relations, at investorrelations@teradata.com. The board said March 6, as the record date for this meeting. We have an affidavit certifying to the mailing of the notice of the annual meeting to all care data, stockholders, of record as of that date. Mr. Chairman, based on a preliminary count of stockholder proxies by our inspector, a quorum is present and the business of the meeting may proceed.
There are three items of business for this meeting. The following three matters on which stockholders of this meeting or voting include: the election of Dan Fishach, Dave Kepler and Kim Nelson to serve as class 1 records for 3 year terms expiring in 2023. And Evibrating on binding stay on hay boat to approve Teradata's executive comp station program. And 3, the ratification of the appointment of PricewaterhouseCoopers LLP as the company's independent registered public accounting firm for the year ended December 31, 2020. You may vote by clicking on the vote here button at the bottom right hand side of your screen.
It is now 804, and I hereby declare this poll's open for voting at the meeting on all matters. I'm going to have Sajas a moment to give stockholders the opportunity to vote Now if pictures to do so. It is now 805 and the polls are now closed. Our Inspector of Elections has tabulated preliminary results, which are the following. The Inspector of Elections has informed me that for the proposal to elect Dan Fishback, Dave Kepler and Kim Nelson as class 1 directors, They have received between 84% 97% of the common stock represented at this meeting and are entitled to vote.
And each of Mr. Fishback, Mr. Kepler and Ms. Nelson is therefore elected for another term expiring in 2023. For the advisory non binding vote on of the common stock represented at this meeting and entitled to vote.
And therefore, the resolution for such item of business as set forth in the company's 2020 proxy statement is hereby adopted. For the proposal to ratify the appointment of PricewaterhouseCoopers LLP as the company's independent reg public accounting firm for 2020, it received at least 98% of the votes passed in favor, and the appointment is therefore ratified. Within 4 business days, the company will report the final voting results either in a Form 8 K or in its quarterly report on Form 10 Q for the first quarter 2020 to be filed with the Securities And Exchange Commission. Mr. Chairman, this concludes the formal business of our meeting.
