Good morning. Welcome to Talen Energy Corporation's 2026 Annual Meeting of Stockholders. My name is Stephen Schaefer, Chairman of Talen's Board of Directors. It is 11:30 A.M. Eastern Time, and I hereby call this meeting to order. Also joining us today are Mark McFarland, Chief Executive Officer; Terry Nutt, President; and John Wander, General Counsel and Corporate Secretary. Mr. Wander will serve as secretary of this meeting and record the proceedings. Mr. Wander will now discuss the procedures for transacting the business of this meeting.

If you are a stockholder entitled to vote at today's meeting and have not yet voted, or if you want to change your previously cast vote, please click on the Vote Here button in the center of your screen once the polls are open. If you have already voted, either online or with a physical proxy card, you do not need to vote again unless you want to change your vote. If you'd like to submit a question relevant to the proposals under consideration here today, please use the Ask a Question function on the left of your screen. Questions may be submitted at any time prior to voting. Please note that we will respond only to questions relevant to the proposals under consideration at today's meeting.
Digital copies of the proxy statement, annual report, 10-K wrap, and rules of conduct for this meeting are available for your review by clicking the applicable links on the right-hand side of your screen. The board of directors has appointed Cheryl Niebeling, a representative of Broadridge Financial Solutions, as the independent inspector of election for this meeting. The inspector has the company stockholder list as of the close of business on March 17, 2026, the record date for this meeting. The list has also been made available by the company for the past 10 days upon stockholder request. The company has received an affidavit of distribution from Broadridge Financial Solutions, establishing that the notice of this meeting was duly given. Approximately 90%, constituting a quorum, of the company's common stock entitled to vote is present, either virtually or by proxy at today's meeting.

Because a quorum has been established and is represented at this meeting, I declare this meeting to be duly convened for the purpose of transacting such business as may properly come before it. It is 11:33 A.M. Eastern Time, and the polls are now open to vote on all proposals. There are 3 proposals of business on today's agenda. Proposal 1: election of directors. Proposal 2: approval on an advisory basis of the compensation of our named executive officers. Proposal 3: ratification of the appointment of PricewaterhouseCoopers, LLP as the company's independent registered public accounting firm for 2026. Are there any questions regarding these proposals? Seeing no further questions, we'll now pause to finalize the voting. I now declare the polls closed on all proposals. It is 11:34 A.M. Eastern Time.
Mr. Wander, will you please announce the results of the vote as indicated in the preliminary report of the inspector of election?
The preliminary report of the inspector of election indicates that with respect to proposal number 1, each of the nominees named in the proxy statement have been elected as directors by the stockholders. Proposals 2 and 3 have each been approved by the stockholders. The inspector of election will furnish a written report of the final vote count with respect to the matters voted on today, which will be included in the minutes of this meeting.
