Good afternoon, and welcome to the 2021 Trade Desk's Annual Meeting of Stockholders. I would now like to introduce the 1st presenter, Chairman of the Board of Directors, Jeff Green. Hello. Welcome to The Trade Desk 2021 Annual Meeting of Stockholders. I'm Jeff Green, the Chairman of the Board of Directors, and I call this meeting to order. We have the following officers of the company in attendance, Blake Grayson, our CFO and Jay Grant, our Chief Legal Officer, in addition to myself. Other members of our Board of Directors in attendance are Liz Beyer, Kate Paulberg, Eric Paley, David Pickles, Gokul Rajaram and David Wells. I would also like to introduce Robert Irving of PwC, our independent registered public accounting firm for the 2020 We'll hold the formal part of the meeting first. Following the formal part, I will answer a few questions that have been submitted to the shareholder meeting link listed in our proxy, if there are any. This meeting is being held to consider director nominations and ratification of our independent auditors described in the proxy statement previously delivered to you. Jay Grant is our Chief Legal Officer and will serve as the secretary for this meeting. Jay has verified that this meeting has been called in compliance with the company's bylaws and Delaware law. The Inspector of Elections for this meeting is Jim Alden from the American Election Services, the representative of Broadridge. I have proved by affidavit that notice of this meeting was given and that the proxy materials commenced mailing on April 13, 2021 to all stockholders of record at the close of business on March 31, 2021. Stockholders of record as of March 31, 2021 are entitled to vote at this meeting. Jay, do we have a quorum represented by proxy? Yes, Jeff. Based on the proxies that have been delivered, the Inspector of Elections has advised me that a quorum is present at this meeting. The Inspector of Elections has now signed the oath of office. The affidavit of mailing and the oath of the Inspector of Elections will now be filed with the minutes of the meeting and the meeting is duly constituted. Thanks, Jay. So the meeting is duly constituted and the polls are now open. We have 2 proposals on the ballot that will be voted on at this meeting. 1, the election of directors of both Dave Pickles and Gokul Rajaram and 2, to ratify the appointment of PricewaterhouseCoopers as our independent auditors. The Board of Directors recommends that the stockholders vote 4, both directors and 4, proposal 2. We will vote by ballot on the agenda items described in the proxy statement previously sent to you. Any stockholder who hasn't yet voted or wishes to change their vote may do so now by clicking on the voting button on the Shareholder Meeting link and following the instructions there. Stockholders who have sent in proxies or voted via telephone or Internet and do not wish to change their vote do not need to take any further action. We will allow a few moments for shareholders who haven't voted to complete their voting now. I'd like to remind you that some of the statements made at this meeting may be considered forward looking and are subject to certain risks and uncertainties that are described in our filings with the SEC, including our most recent Annual Report on Form 10 ks for the fiscal year ended December 31, 2020, and our quarterly report on Form 10Q for the quarter ended March 31, 2021. The polls for each matter to be voted on at this meeting are now closed. No additional ballots, proxies or votes And no changes or revocations will be accepted. Jay, will you report on the vote of the matters brought before this meeting? Based on the preliminary results, the director nominees are both duly elected. Stockholders voted in favor of the appointment of PricewaterhouseCoopers LLC. We will be reporting the final vote results on a Form 8 ks to be filed within 4 business days of today's meeting.
