Summary

Stockholders preliminarily approved both the option repricing and a contingent adjournment proposal. Final results were to be filed on Form 8-K within four business days.

Nate Olmstead
CFO, The Trade Desk

Welcome to The Trade Desk 2026 special meeting of stockholders. I am Nate Olmstead, the company's Chief Financial Officer, and I call this meeting to order. We have the following officers of the company presenting today, Jay Grant, our Chief Legal Officer, and Chris Toth, the corporation's Vice President, Investor Relations, in addition to myself. We will begin with the formal business of the meeting first. Following this, I will answer questions that have been submitted to the shareholder meeting link listed in the proxy materials previously sent to you. This meeting is being held to approve the repricing of certain outstanding stock options that have been granted under our 2025 Incentive Award Plan, and to approve one or more adjournments of this special meeting, if necessary, to solicit additional proxies if there are insufficient votes at the time of this special meeting.

These matters are fully described in the proxy materials previously sent to you. Jay Grant is our Chief Legal Officer and will serve as the secretary for this meeting. Jay has verified that this meeting has been called in compliance with the company's amended and restated bylaws and Nevada law. The Inspector of Elections for this meeting is Jim Alden from American Election Services, a representative of Broadridge. I have proof by affidavit that the notice of this meeting was given, and that the proxy materials commenced mailing on September 18th, 2026 to all stockholders of record at the close of business on September 14th, 2026. Stockholders of record as of September 14th, 2026 are entitled to vote at this meeting. Jay, do we have a quorum represented by proxy?

Jay Grant
Chief Legal Officer, The Trade Desk

Yes, Nate. Based on the proxies that have been delivered, the Inspector of Elections has advised me that a quorum is present at this meeting. The Inspector of Elections has now signed the oath of office. The affidavit of mailing and the oath of the Inspector of Elections will now be filed with the minutes of the meeting, and the meeting is duly constituted.

Nate Olmstead
CFO, The Trade Desk

Thanks, Jay. The meeting is duly constituted and the polls are now open. We have two proposals on the ballot that will be voted on at this meeting. One, the approval of the repricing of certain outstanding stock options that have been granted under our 2025 Incentive Award Plan. Two, the approval of one or more adjournments of this special meeting, if necessary, to solicit additional proxies if there are insufficient votes at the time of the special meeting to approve proposal one. The Board of Directors recommends that stockholders vote for both proposal one and proposal two. You will vote by ballot on the agenda items described in the proxy statement previously made available to you.

Any stockholder who hasn't yet voted or wishes to change their vote may do so now by clicking on the voting button on the shareholder meeting link and following the instructions there. Stockholders who have sent in proxies or voted via telephone or the internet, and who do not want to change or revoke their vote, do not need to take any further action. We will allow a few moments for shareholders who haven't voted to complete their voting now. I'd like to remind you that some of the statements made at this meeting may be considered forward-looking and are subject to certain risks and uncertainties that are described in our filings with the SEC, including our most recent annual report on Form 10-K for the fiscal year ended December 31st, 2025, and our quarterly report on Form 10-Q for the quarter ended June 30th, 2026.

The polls for each matter to be voted on at this meeting are now closed. No additional ballots, proxies, or votes, and no changes or revocations will be accepted. Jay, will you report on the vote of the matters brought before this meeting?

Jay Grant
Chief Legal Officer, The Trade Desk

Based on preliminary results, stockholders voted in favor of both proposal one and proposal two. We will be reporting final vote results on a Form 8-K to be filed with the Securities and Exchange Commission within four business days of today's meeting.

Nate Olmstead
CFO, The Trade Desk

Thank you. This concludes the formal portion of our 2026 special stockholders meeting. There being no further business, I declare that the special meeting of the stockholders is concluded. I will now hand it over to Jay to close out the meeting.

Jay Grant
Chief Legal Officer, The Trade Desk

Thank you, Nate. We now have time for a few questions that have been submitted to the shareholder meeting link listed in our proxy materials. I would like to remind everyone that we will only take questions that are germane to this meeting and that otherwise comply with the rules for this meeting. A full list of the rules and regulations for this special meeting can be found in our 2026 special meeting code of conduct posted on the virtual shareholder meeting website. Chris Toth, our Vice President of Investor Relations, will help facilitate the question and answer session.

Chris Toth
VP of Investor Relations, The Trade Desk

Thank you, Jay. At this time, we have no questions in the queue, and this now concludes our 2026 special meeting of stockholders, and we thank you all for participating. You may now disconnect.
