Good morning. I'm Steve Kasnet, Chairman of the Board of Directors of Two Harbors Investment Corp. I hereby call this special meeting of stockholders to order. Two Harbors' Secretary and Chief Legal Officer, Rebecca Sandberg, will now address the meeting.
Thank you, Steve. The polls for voting on each item of business are currently open and will remain open until the Chairman announces their closure later in the meeting. I have been advised by the Inspector of Elections that a majority of our issued and outstanding common stock is present or represented by proxy at this special meeting. Therefore, a quorum is present, and the meeting is duly constituted. We may now proceed to transact the business for which the meeting has been called. The only matters on which the stockholders at this meeting are voting are to, one, approve the CCM merger proposal, two, approve the non-binding compensation advisory proposal, and three, approve the adjournment proposal. Each of these proposals is more fully described in the notice of special meeting in the proxy statement, including all supplements thereto. The Chairman will now close the polls.
I declare the polls for each matter voted upon at this meeting closed at 10:01 A.M. Eastern Time today, July 2nd, 2026, and direct the Inspector of Elections to tabulate the ballots. Please wait a moment while we confirm the preliminary results.
The Inspector of Elections has advised that based on the preliminary review of the votes cast, the CCM merger proposal has been approved by stockholders. The non-binding compensation advisory proposal was not approved by stockholders, and the adjournment proposal has been approved by stockholders. Since, based on the preliminary review of votes cast, the CCM merger proposal was approved by the requisite vote, the adjournment to solicit additional proxies is not necessary. The Inspector of Elections will furnish the Secretary with a written report of the final vote count with respect to the matters voted on today. The final voting results will be disclosed in a current report on Form 8-K that will be filed in the coming days. The Chairman will now adjourn the meeting.
