Thank you. Good morning, welcome to the 2026 annual meeting of shareholders of UroGen Pharma. My name is Liz Barrett, President, CEO, and member of the Board of Directors of UroGen Pharma. Over the past year, UroGen has made significant progress in executing our strategy and strengthening our position as a leader in uro-oncology. Most notably, we successfully launched ZUSDURI, the first and only FDA-approved medicine for adults with recurrent, low-grade, intermediate-risk non-muscle invasive bladder cancer and have been seeing strong early adoption as we continue to expand utilization across the market. At the same time, we continue to grow JELMYTO, advance our next-generation pipeline, including UGN-103 and UGN-104, and expand our early-stage pipeline with UGN-501, our investigational oncolytic virus program that we believe has the potential to advance treatment in multiple tumors in bladder and beyond.

Together, these achievements reflect our commitment to delivering meaningful innovation for patients while building a durable multi-product company positioned to create long-term shareholder value. Joining me today from my management team are Chris Degnan, Chief Financial Officer, and Jason Smith, General Counsel, Chief Compliance Officer, and Secretary. I would also like to introduce Michael Bai of PricewaterhouseCoopers LLP, representing the company's independent registered public accounting firm, Asa Henin from Cooley LLP, and Ari Freed from Gornitzky & Co., the company's outside legal counsel, who are also in attendance virtually, and John Murtha from Broadridge, who will act as the Inspector of Elections for today's meeting. The meeting will now officially come to order. The time is now 10:02 A.M., the polls are open for voting for all matters to be presented. As you know, we are hosting today's meeting through a virtual online platform.

We will proceed with the formal business of the meeting as set forth in the notice of annual meeting and proxy statement. We will first present the items of business, including six proposals submitted by our board for approval at today's meeting, after which Chris will review any questions and read aloud those that are germane to this meeting before the company responds. Shareholders of record and registered beneficial owners may submit questions or comments for the Q&A portion of this meeting. To ask a question, click on the message icon on your screen to submit your question or comment online. Please submit your questions now to make sure they are received in a timely fashion for our review and response. Please note, the rules of conduct for today's meeting were posted in the annual proxy statement materials and are available as part of this virtual meeting.

We invite shareholders with questions not germane to the proposals to contact our investor relations department. Please see the Media and Investors tab on our website. We will announce the preliminary results of the voting after all proposals have been presented. As I mentioned earlier, the polls are open for voting on all matters to be presented. Each ordinary share is entitled to one vote. After I describe each item to be voted on, we will close the polls. We will not accept ballots, proxies, revocations, or changes after the closing of the polls. If you have already submitted your vote by proxy and do not wish to change your vote, you do not need to vote now, and your shares will be voted as previously instructed.

I also have an affidavit certifying that commencing on April 30th, 2026, the materials for this annual meeting of shareholders were mailed to all shareholders of record at the close of business on April 29th, 2026.

I've been informed by the Inspector of Election that proxies have been received for 36,876,332 of the 48,721,701 ordinary shares outstanding on the record date, which represents approximately 75.7% of the total number of shares outstanding on the record date. This constitute a quorum for the meeting today. We may now carry out the official business of the meeting.

We will now proceed with the formal business of this meeting. There are seven items of business to be considered by the shareholders at this meeting. The first item of business today is the election of seven directors to serve until the annual meeting of shareholders in 2027 and until their successors are elected. The nominees for director are Arie Belldegrun, Liz Barrett, Cynthia Butitta, Stuart Holden, James Robinson Jr., Leana Wen, and Daniel Wildman. The second item of business today is the approval of an amendment and restatement of the articles of association of the company to, among other things, tie eligibility for shareholder proposals to the requirements under the Israeli Companies Law and regulations promulgated thereunder. The third item of business today is the approval of an amendment to the company's amended and restated non-employee director and officer compensation policy in relation to directors' and officers' insurance.

The fourth item of business today is the approval of an amendment to the company's 2017 Equity Incentive Plan to increase the number of ordinary shares authorized for issuance under the plan by 1 million shares. The fifth item of business today is the approval on an advisory basis of the compensation of the company's named executive officers as disclosed in the proxy statement for the annual meeting. The sixth item of business today is the approval of the engagement of PricewaterhouseCoopers LLP, an independent registered public accounting firm, as the company's auditors until our 2027 annual meeting of shareholders. The seventh item of business today, in accordance with Israeli law, is to discuss the company's audited financial statements for the fiscal year ended December 31st, 2025. Members of the company's management team are available to discuss the seventh item of business to the extent any shareholders have questions.
