Good morning, everyone. Welcome to the V2X, Inc. 2026 Annual Meeting of Shareholders. I would like to introduce you to Mary Howell, Chairman of the Board of Directors of V2X, Inc.

Good morning, ladies and gentlemen. It is now 8:00 A.M. Eastern Time, and I'd like to call the meeting to order. I'm Mary Howell, Chairman of the Board of Directors of V2X. As chairman of this meeting, I am delighted to welcome you to the 2026 Annual Meeting of the Shareholders of V2X. Before we begin, I'd like to thank the 16,000+ employees of V2X for all their contributions. We thank you for all you do for our nation and our company. 2025 was a successful year on many fronts in both supporting our customers' missions and achieving our commitments to shareholders and employees. Our progress reflects the strength of our strategy, and we see continued momentum across the business, supported by a large pipeline of opportunities and the ongoing demand for our mission solutions.

As we continue to invest, partner, and innovate, we believe V2X is uniquely positioned to deliver greater value for our customers and long-term value for our shareholders. I'd like to inform you about the mechanics of our meeting. Shareholders of record as of the close of business of March 11th, 2026, may submit a question by typing the question in the Ask a Question box located in the lower left-hand side of the webcast screen. Shareholders who have not already voted or wish to change their vote may do so by clicking on the Vote Here button at the lower center of the webcast screen. No action is required for the shareholders who have previously voted by proxy and do not wish to change their vote.

Today's agenda and the procedures we will follow for the meeting can be found at the bottom right side of the webcast screen under Meeting Materials. The first order of business today is to complete the formal portion of the meeting. A separate Q&A session has been scheduled later in the agenda. Before we proceed, I'd like to thank our directors for their continued service on the board, including Mel F. Parker, the Chair of our Nominating and Governance Committee; Phillip C. Widman, the Chair of our Audit Committee; Eric M. Pillmore, the Chair of our Compensation and Human Capital Committee; David E. Farnsworth, Gerard A. Fasano, Ross S. Niebergall, Nicole B. Theophilus, and Jeremy Wensinger, our President and Chief Executive Officer, who will speak with you next.

I particularly would like to acknowledge and thank Stephen L. Waechter, whose term as director has now come to an end, for his dedicated service and many, many contributions to the company, having served on our board since 2014.

Thank you, Mary. Thank you for all attending this 2026 Annual Meeting of our Shareholders. I would like to thank our employees and our partners globally for their dedication to our business and the missions we support. With us today is Shawn Mural, our Senior Vice President and Chief Financial Officer, and Mike Smith, our Vice President and Treasurer, Corporate Development, and Investor Relations. Sarita Malakar, our Deputy General Counsel and Corporate Secretary, is also attending this meeting and will be taking minutes. Mr. Michael Delashofsky from Broadridge Financial Solutions is attending this meeting and is serving as our Inspector of Elections. Kelly Anderson, Audit Partner from RSM US LLP, the company's independent registered public accounting firm, is also attending this meeting.

Our agenda for today is divided into two parts. In the first part, we will address the formal business of the meeting, including three items for shareholder consideration. The second part will involve remarks from Mr. Wensinger, our President and CEO, followed by a Q&A session. Sarita, please present the required documents and the affirmation provided by the Secretary of the meeting confirming that we have a quorum for the meeting.

Yes. Thank you, Mary. I present copies of the company's Notice of Meeting, the 2026 Proxy Statement, the 2025 Annual Report to Shareholders, and the form of proxy card, together with the Affidavit of Mailing, which can be found at the lower right side of the webcast screen under Meeting Materials. These documents and a certified list of shareholders as of the record date, March 11th, 2026, will be filed with the records of this meeting. Our Inspector of Elections has informed us that based on the 31,027,033 shares of V2X's common stock outstanding and entitled to vote as of the record date, the shares present in person or by proxy at this meeting represent a quorum.

Shareholders, I declare that a quorum is present, and this meeting is called to order. Sarita, would you please present the proposals?

Yes, Madam Chairman. The first item of business for consideration by the shareholders is the election of three Class III directors. I nominate the three director nominees named in the proxy statement, Dr. Ross S. Niebergall, Mr. Melvin F. Parker, Mr. Jeremy C. Wensinger. As Class III directors, each is to serve as a member of the board of directors for a term of three years or until his or her earlier retirement or resignation. No other person has been nominated in accordance with the company's bylaws. Madam Chairman, I move for approval of this action.

The second item of business is to ratify the appointment of RSM US LLP as the company's independent registered public accounting firm for fiscal year 2026. Madam Chairman, I move for approval of this action.

The third and final item of business is to approve on an advisory basis the compensation of our named executive officers in fiscal year 2025, as described in the 2026 proxy statement. Madam Chairman, I move for approval of this action pursuant to the following resolution. Resolved, that the compensation paid to the company's named executive officers in fiscal year 2025, as disclosed in the 2026 proxy statement, pursuant to Item 402 of Regulation S-K, including the compensation discussion and analysis, compensation tables, and any related narrative discussion, is hereby approved.

Ladies and gentlemen, this concludes the presentations of the proposals for the meeting. The polls are now closed. Sarita, please report on the preliminary results of the voting.

The Inspector of Elections has certified the following preliminary voting results. Each of the Class III director nominees named in the 2026 proxy statement has been elected. The ratification of the appointment of RSM US LLP as the company's independent registered public accounting firm for fiscal year 2026 has been approved. The compensation paid to the company's named executive officers in fiscal year 2025, as described in the 2026 proxy statement, has been approved on an advisory basis. The Inspector of Elections will execute a certificate on the voting results, and the certificate will be filed in the minute books of the company along with the minutes of the meeting. We will report the final voting results on a Form 8-K to be filed with the SEC within four business days of today's meeting.

I am pleased with our execution and performance, which underscores the strength of our strategy and alignment with national security priorities for readiness and modernization. We are accelerating our position as a leading provider of mission capabilities and are excited about the opportunity V2X has to increase our share of large addressable markets and drive additional value for shareholders. I'd like to once again thank our employees for their commitment to our company and to our customers' mission.
