Good morning, everyone, and welcome to the 2026 Advance Auto Parts annual meeting of shareholders. I'm Gene Lee, Chair of the Board of Advance Auto Parts. It's 8:30 A.M. In accordance with the notice of the annual meeting of stockholders, I call this meeting to order. I'll now turn the meeting over to Advance's President and Chief Executive Officer, Shane O'Kelly.

Thank you, Gene. I'd first like to thank the entire Advance team for their dedication and unwavering commitment to serving our customers. 2025 was a pivotal year in Advance Auto Parts' comeback journey. After completing significant strategic actions, like divesting the Worldpac business and rationalizing the company's footprint to better position the company for growth, Advance made progress against each of its three strategic priorities. As we improved our fundamental execution in merchandising, supply chain, and store operations, the company returned to profitability. We appreciate the hard work of the entire Advance Auto Parts team and look forward to continued improvement in 2026 and beyond. I'm joined today by other members of the board of directors and Brad Vineyard from Deloitte & Touche LLP, the company's independent registered public accounting firm, who will be available during our question- and- answer session to respond to questions.

I will now turn the meeting over to Ryan Grimsland, Executive Vice President and Chief Financial Officer, to lead us through the business portion of our meeting. Ryan.

Thank you, Shane. The formal agenda for the meeting consists of the following three proposals. The election of the 10 nominees named in the proxy statement to the Board of Directors to serve until the 2027 Annual Meeting of Shareholders. Advisory vote to approve the compensation of the company's named executive officers, and ratification of the appointment by the Audit Committee, Deloitte & Touche LLP, as the company's independent registered public accounting firm for 2026. No other director nominations or proposals were properly brought before the meeting. Therefore, the business of this meeting is limited to these proposals. I will now turn the meeting over to Jeff Vining, EVP, General Counsel, and Corporate Secretary, who will serve as secretary of this meeting.

Thank you, Ryan. Stockholders of record as of the close of business on March 25, 2026, were entitled to notice of and to vote at this meeting. We have an affidavit that the notice of annual meeting and accompanying proxy materials were mailed on or about April 1, 2026, to each such stockholder of record. The proxy materials are also available on the company's investor relations website, and the list of stockholders of record entitled to vote at this meeting is available for review by the stockholders of the company. The records of the company show that there were 60,329,208 shares of common stock outstanding on the record date. The company has appointed Heather Obey as Inspector of Elections for this meeting.

The Inspector of Elections informs me that 57,427,112 shares of common stock, or 95.18% of the outstanding shares entitled to notice of and to vote at this meeting, are present in person or by proxy.

A quorum is declared present. The meeting is duly convened for the transaction of any business that may properly come before it. The time is 8:33 A.M., Wednesday, May 20, 2026, and the polls are open for the three matters to be voted on at this meeting. The first item of business is the election of the 10 nominees named in the proxy statement to the board of directors to serve until the 2027 Annual Meeting of Stockholders, or until their successors have been duly elected and qualified. I move to approve the proposal.

No other nominations have been duly made. Therefore, the nominees listed in the proxy statement are the only nominees to be considered. The second item on the agenda is the advisory vote to approve the compensation of the company's named executive officers. I move to approve the proposal.

With the proposals before the meeting having been made, I would now like to invite any questions relevant to the matters to be voted upon at this annual meeting. Please refer to our meeting rules of conduct for instructions on how to contact investor relations if you have a question of individual concern or that is not otherwise addressed at this meeting. Lavesh Hemnani, our Vice President, Investor Relations, has indicated that we have not received any questions on the business matters. Now that anyone choosing to vote live has had an opportunity to do so, I declare the polls closed at 8:35 A.M., Wednesday, May 20, 2026. Jeff, would you please report the results of the voting?

The report of the Inspector of Elections confirms that a quorum is and has been in attendance at the meeting for all purposes. Majority of the votes cast at this meeting have elected all the nominees to serve as directors of the company until the 2026 Annual Meeting of Shareholders, or until their successors are duly elected and qualified. Majority of the shares of the company present and entitled to vote at this meeting have voted for approval of both the compensation of the company's named executive officers and the ratification of Deloitte & Touche as the company's independent registered public accounting firm for 2026.
