Marcus Lemonis
Chairman and CEO, Camping World

Good afternoon. I am Marcus Lemonis, the Chairman of the Board and Chief Executive Officer of Camping World, and the Chairman of today's meeting. I'm very happy to welcome you to our 2020 Annual Meeting of Stockholders. Before I call the meeting to order, I'd like to introduce you to the other members of the Board and the other officers of the company on the annual webcast today. From the Board are Stephen Adams, Andris Baltins, Brian Cassidy, Mary George, Daniel Kilpatrick, Michael Malone, Dillon Schickli, and Brent Moody, who is also our President. From the company, we have Mel Flanigan, our Chief Financial Officer, and Tamara Ward, our Chief Operating Officer. Also present is Jim Mills of Deloitte & Touche LLP, the company's independent auditor. The meeting will now officially come to order.

We will proceed with the formal business of the meeting indicated in the notice of the annual meeting and the company's proxy statement. The polls open today, May 15th, 2020, at 1:30 P.M. Central Time for voting on all matters before the meeting. If you have not already voted and wish to vote, the polls will remain open until we finish presenting the proposals and close the polls. You do not need to vote during the meeting if you have already voted and do not wish to change your vote. On the virtual meeting webpage, you will find the agenda for the meeting. You'll also find the rules of conduct for today's meeting. Please review those rules carefully. Note that only stockholders who are logged into the meeting using their 16-digit control number will be able to vote and submit questions at today's meeting.

The Corporate Secretary will file the proof of mailing of notice of the meeting with the records of the meeting. All stockholders of record at the close of business on March 20, 2020, or holders of a valid proxy are entitled to vote at this meeting. A complete list of the holders of record of the outstanding shares of the company's common stock on the record date for the meeting is available on your screen if you have logged in using your 16-digit control number. At this time, I'd like to introduce Charles Zade of American Election Services LLC, who has been appointed to act as Inspector of Election at this meeting. Mr. Zade has signed the customary oath of office to execute his duties with strict impartiality. We will file this oath with the records of the meeting. I've been informed that a quorum is present.

Therefore, I hereby declare this meeting to be duly constituted for the transaction of business. We will now proceed with the formal business of this meeting. There are three company proposals to be considered by the stockholders at this meeting. The company recommends that the stockholders vote for each of these proposals. The first item of business is the election of Stephen Adams, Mary George, and K. Dillon Schickli to serve as Class I Directors of the company for a term of office expiring at the annual meeting of stockholders to be held at 2023. The second item of business is the ratification of the Audit Committee's appointment of Deloitte & Touche LLP as the independent registered public accounting firm of the company for the year ending December 31st, 2020.

The third item of business is the approval of the following resolution: Resolved that the company's stockholders approve, by a non-binding advisory vote, the compensation of the named executive officers as disclosed in the company's proxy statement for the 2020 Annual Meeting of Stockholders pursuant to the compensation disclosure rules of the Securities and Exchange Commission, including the compensation discussion and analysis, the compensation tables, and the narrative discussion. That was the final proposal for today's meetings. If you wish to vote and you haven't already, please vote now by clicking on the voting button of the web portal and following the instructions. You do not need to vote electronically if you have already sent your vote in and signed your proxy, or if you have already voted by telephone or internet. We will pause for approximately 30 seconds before closing the voting polls. The time is now 1:36 P.M.

Central Time on May 15, 2020, and the polls are now closed for voting. I've received the preliminary report of the Inspector of the Election to be kept with the company's records of the annual meeting. Based on this preliminary report, Stephen Adams, Mary George, and K. Dillon Schickli have been elected as Class I Directors. Number two, the appointment of Deloitte & Touche LLP as our independent registered public accounting firm for the year ending December 31st, 2020, has been ratified. And lastly, the resolution to approve on an advisory basis the compensation of Camping World's named executive officers has been approved. The final tally of the votes will be published within four business days in a current report on Form 8-K to be filed with the Securities and Exchange Commission. The meeting is now adjourned. We will now move to the final topic of the agenda: Questions and Answers.

Please note that we will only be answering questions that are within the rules of conduct, and only stockholders who have logged into the meeting using their 16-digit control number are able to submit a question through the question area of the web portal. I'm going to take a moment to see if there's any questions to address. At this time, it appears that we do not have any questions. In closing, I want to thank all of our stockholders and everyone on the line today for your support and your interest in Camping World. We hope that everyone is staying safe, camping, and wish you well. This concludes our annual meeting.
