Company Description
Forest Acquisition Corp is a blank check company incorporated formed for the purpose of effecting a merger, share exchange, asset acquisition, stock purchase, reorganization or similar business combination with one or more businesses.
Our Sponsor and certain members of our Board of Directors and management have significant business ties to or are based in the People’s Republic of China and Hong Kong.
We may consider a business combination with an entity or business with a physical presence or other significant ties to the People’s Republic of China or Hong Kong which may subject the post-business combination business to the laws, regulations and policies of the People’s Republic of China (PRC).
In order to reduce or limit risks related to acquiring or operating a business in the PRC, we will not consider or undertake a business combination with any target which conducts its operations through variable interest entities, or VIEs, in China.
We will primarily seek to acquire one or more growth businesses with a total enterprise value of between $200,000,000 and $500,000,000.
