Golden Star Acquisition Corporation is a blank check company incorporated in the Cayman Islands and formed for the purpose of acquiring, engaging in a share exchange, share reconstruction and amalgamation with, purchasing all or substantially all of the assets of, entering into contractual arrangements with, or engaging in any other similar business combination with one or more businesses or entities.
We have not identified any particular geographical area or country in which we may seek a business combination.
However, our Sponsor and certain members of our Board of Directors and management have significant business ties to or are based in the People’s Republic of China and Hong Kong.
We may consider a business combination with an entity or business with a physical presence or other significant ties to the People’s Republic of China or Hong Kong which may subject the post-business combination business to the laws, regulations and policies of the People’s Republic of China (PRC).
However, we affirmatively exclude as an initial business combination target with financial statements audited by an accounting firm that the PCAOB is unable to inspect for two consecutive years.
