Afternoon, welcome to the 2026 Annual Meeting of Stockholders for Northern Oil and Gas, Inc. Most stockholders have already voted by proxy, and the proxy votes have been tallied. Please note that recording of this meeting by any means is strictly prohibited. If you are a stockholder of record or a beneficial stockholder possessing a legal proxy from your bank or broker and you want to vote your shares now or change your vote, you may do so during the meeting by clicking on the Vote Here button on the webcast screen. Stockholders may submit questions electronically during the meeting by typing the questions in the box located on the webcast screen. Your questions will not be visible to other participants.

Questions received during the meeting may not be answered live, but instead, the company may respond to such questions directly or through a posting on the company's website following the conclusion of this meeting. Good afternoon. The meeting's now called to order and the polls are open. Welcome, everyone, to our 2026 Annual Meeting of Stockholders. Before we begin, I would like to introduce some key individuals who are present and joining us by remote access today. From our board of directors, our chairman, Bahram Akradi, as well as Lisa Bromiley, Ernie Easley, Michael Frantz, Will Kimble, Stuart Lasher, and Jennifer Pomerantz. I'd also like to specially recognize Ernie Easley, who is today completing his final term on NOG's board after many years of service. Ernie, we have benefited greatly over the years from your knowledge, wisdom, and perspective. On behalf of everyone, our board, management, employees, and shareholders, I extend a heartfelt thanks to you for your dedicated service. We wish you all the best in your future endeavors.

Moving on to our management team, joining us today are Adam Dirlam, our President, Chad Allen, our Chief Financial Officer, James Evans, our Chief Technical Officer, and Erik Romslo, our Chief Legal Officer and Secretary. Finally, from our independent auditors, Deloitte & Touche, Brenna Vanderl oop, and Andrew Durdall. Excuse me. I would now like to turn the line over to Erik Romslo, our Chief Legal Officer and Secretary, to conduct the business portion of today's meeting.

Thank you, Nick. There are present at this meeting, in person or by proxy, holders of a majority of the voting power of the shares entitled to vote. As a result, a quorum is present, and the meeting is declared lawfully and properly convened, and we can proceed to the transaction of business. The agenda for this meeting includes the following three items. First, the election of our board of directors to serve until the next annual meeting of stockholders. Second, the ratification of our appointment of Deloitte & Touche as our independent auditor for 2026. Third, an advisory vote to approve the compensation of our named executive officers. Only stockholders of record as of the close of business on March 26, 2026, are entitled to vote at this meeting. Now, onto the business portion of the meeting.

Prior to the meeting, Cheryl Kneebling, a representative of Broadridge Financial Solutions, was appointed as Inspector of Election. She has executed an oath of office. The polls remain open at this time but will be closed in a few moments. Stockholders who have sent in proxies or previously voted via the Internet or by phone and who do not wish to change their vote do not need to take further action. Those votes will be counted automatically. Our bylaws require advance notice of nominations and any other items of business to be brought before the meeting. We did not receive notice of any other matters for consideration by stockholders. Pausing briefly. The polls will be closed shortly. The polls are now closed. Based on proxies and votes received prior to this meeting, each of our proposals has received enough votes for their approval.

As a result, each director nominee has been elected to serve until our next annual meeting of stockholders. Our appointment of Deloitte & Touche to serve as our independent auditor has been ratified, and the compensation of our named executive officers, as disclosed in our proxy statement for this meeting, has received the advisory approval of our stockholders. The Inspector of Election will tabulate and report the final vote tallies to me after this meeting, and we will report the final results on a Form 8-K that will be filed with the SEC in the next few days. Since there is no further business to properly come before this meeting, I now declare the business portion of the meeting to be adjourned. With that, I will turn the line back over to Nick.
