Good morning, and welcome to the RealReal's 2020 Annual Meeting of Stockholders. I would now like to introduce Julie Wainwright, the company's Chief Executive Officer and Chair of the Board.

Good morning, everyone, and welcome. I'm Julie Wainwright, In accordance with our bylaws, I will act as the chair of this meeting. Todd Suchow, our Chief Legal Officer and Secretary, will act as secretary of the meeting record the minutes. Due to the ongoing health public health impact of the coronavirus pandemic, COVID-nineteen and continued restrictions on public interactions in California, today's meeting is a virtual only live audio webcast. I would now like to introduce the members of our Board who are present at today's meeting.

We have Chip Bard, Maha Ibrahim, Rob Krolich, Michael Kuman, Nicky Leonakis and Jim Miller. In addition, we are joined by the following members of our team: Matt Gutzfi, our Chief Financial Officer Rati Levesque, our Chief Operating Officer Chris Hubbard, our Senior VP of Finance and Paul Bieber, our Head of Investor Relations. Also present are Jeremy Peters and Michelle Leung, representatives of KPMG, our independent registered public accounting firm as well as Trish Hodson, the duly appointed representative of Broadridge Financial Solutions, our Inspector of Election. The formal business for today's meeting is described in our 2020 proxy statement and includes the election of Class 1 Director nominee, Michael Kuman and the ratification of the appointment of KPMG as our independent registered public accounting firm. After voting on these matters and allowing stockholders to submit questions, we will adjourn the meeting.

I will now turn the meeting over to Todd Suchow, who will conduct the formal part of this meeting.

Thank you, Julie. Hello, everyone, and thanks again for joining us today. Before we begin the formal part of this meeting, I would like to note the following. To vote or submit questions while participating in this meeting, you must have accessed this meeting as a stockholder with your 16 digit control number that you received with your proxy materials. If you have already voted by proxy and do not wish to change your vote, your vote will be cast as previously instructed and no further action is necessary.

We welcome questions from stockholders. If we receive any appropriate questions regarding the matters on the agenda or the business of the company, we'll post our answers within 48 hours of the conclusion of this meeting on the Investor Relations page of our website at investor. Therealreal.com. Please review our rules of conduct in the meeting materials section of the meeting website for further information. An audio recording of this meeting will be available on the Investor Relations page of our website within 48 hours of the conclusion of this meeting.

Now on to the formal part of this meeting. Broadridge Financial Solutions, our proxy service provider, has indicated by affidavit that the notice of Internet availability of the proxy materials was mailed to all stockholders of record at the close of business on April 2020, 2020, the record date of this meeting. Trish Hodson has been duly appointed as the representative of Broadridge Financial Solutions, our Inspector of Elections and has signed an oath of office promising to execute faithfully the duties of the Inspector of Election. The oath of office will also be filed with the minutes of this meeting. The Inspector of Election has determined that a sufficient number of shares entitled to vote at this meeting are present, virtually in person or by proxy to constitute a quorum and we may proceed with business.

The polls have been open since the start of this meeting at 9 a. M. The first item of business in the election is the election of the Class 1 Director. Michael Kuehman has been nominated by our Board of Directors to serve as a Class 1 Director until our 2023 Annual Meeting of Stockholders or until his successor is duly elected and qualified or his office is otherwise vacated. Our Board of Directors recommended that he vote for this director nominee.

The second item of business is the ratification of the appointment of KPMG as our independent registered public accounting firm for our fiscal year ending December 31, 2020. Our Board of Directors recommends that you vote for the ratification of the appointment of KPMG. At this time, we'll pause for a moment to allow any stockholder who wishes to vote to please conclude their voting through the virtual meeting website. It is now 9:0:5 a. M.

Pacific Time and the polls are closed. Based on the preliminary review of votes, the Inspector of Election has informed me that the Director nominee, Michael Kuman, has been elected and the appointment of KPMG has been ratified. We plan to publicly announce the official voting results on Form 8 ks after all verifications have been completed by the Inspector of Elections. This concludes the formal business of our 2020 Annual Meeting of Stockholders.
