I'm Brandon Lombardi, and I will serve as chairman of the meeting. Joining me is Derek Mirza, inspector and teller of election. I'm also joined by members of our executive team and our board of directors. With us on the line today are representatives of PricewaterhouseCoopers, our independent auditor. Now we'll proceed with the formal business matters set forth in our proxy statement.
Thank you, Brandon. An affidavit of distribution for this meeting states that meeting materials were mailed by Broadridge Financial Solutions commencing on April seventh, 2026, including 25 records that were processed and distributed to registered shareholders. That affidavit will be filed as part of the record of this meeting. Only stockholders of record on March 23rd, 2026, may vote at this meeting. A list of those stockholders as of the record date is available for inspection on our virtual meeting platform. I have counted over 88% of our issued and outstanding shares of common stock present at this meeting and determine that we do have a quorum.
Based on Derek's report, a quorum is present and the meeting may proceed. The first order of business is the election of two Class I directors, Joel Anderson and Terri Funk Graham. The second order of business is a say-on-pay vote on our executive compensation for 2025. The third order of business is a vote on the frequency of future say-on-pay votes. The fourth and final order of business is a proposal to ratify PwC as our independent auditor for 2026. The polls are now closed. Derek, please report on the voting results.
The two nominated directors each received a plurality of votes cast. A majority of shares of common stock has approved the say-on-pay proposal. A majority of shares of common stock has selected one year as the frequency for future say-on-pay votes. A majority of the shares of common stock has approved the ratification of the appointment of PwC as our independent registered public accounting firm for fiscal 2026. We will publicly file voting results for these proposals with the SEC on a Form 8-K.
