Good morning, welcome to the 2026 Annual Shareholders Meeting of Sunrise Realty Trust, Inc. I'm Brandon Hetzel, Chief Financial Officer and Treasurer. Thank you for joining us today. We're excited to be hosting our virtual meeting, which allows us to reach a greater number of our shareholders. We have shareholders attending via the web portal and the 800 number that we have provided. As is customary, we will conduct the business portion of our meeting first and answer any questions following the end of the meeting. It is now 9:31 A.M. Eastern Time on Tuesday, May 26, 2026, and this meeting is officially called to order. Now I will review the meeting procedure. We are also joined here today by representatives from CohnReznick LLP, our independent auditors, and one of our independent board members, Jodi Hanson Bond.
She will be available during the Q&A session after the meeting to respond to appropriate questions. Further, the company has appointed me to act as Inspector of Elections, and I have taken the oath of Inspector of Election earlier today. After the formal meeting has been adjourned, we will provide time for general questions. Only validated shareholders may ask questions in the designated field on the web portal. Please note that this meeting is being recorded. However, no one attending via the webcast or telephone is permitted to use any recording device. The board of directors set March 31st, 2026, as the record date for determining shareholders entitled to vote at this meeting.
An affidavit has been delivered attesting to the fact that either, 1, a notice of intent, availability of the notice of the meeting, the proxy statement, and the 2025 annual report of shareholders, or 2, the documents themselves were mailed on or about April 15th, 2026, to all registered shareholders as of the record date and will be incorporated into the minutes of this meeting. The shareholder list shows that as of the record date, there were 13,519,655 shares of common stock outstanding and entitled to vote this meeting. As the Inspector of Elections, I hereby confirm that there are shares of common stock representing 10,329,913 votes, or approximately 76.4% of the voting power on the record date represented in person or by proxy at this meeting.
Since this represents more than a majority of the voting power of all issued and outstanding stock entitled to vote on the record date, a quorum is present for purposes of transacting business. Now I will present the matters to be voted upon. Proposal one is the election of directors. The proposal is to reelect Brian Sedrish and James Fagan, our Class Two directors, to serve in such capacity until our 2029 annual meeting of shareholders, or until their successors are duly elected and qualified. Proposal two is to ratify the appointment of CohnReznick LLP as our independent registered public accounting firm for the year ended December 31st, 2026. It is now 9:33 A.M. Eastern Time on May 26, 2026, and the polls are now open.
Any shareholder who hasn't yet voted or wishes to change their vote may do so by clicking on the voting button on the web portal and following the instructions there. Shareholders who have sent in proxies or voted via telephone or internet and do not wish to change their vote do not need to take any further action. I will now pause approximately one minute for voting. Now that everyone has had the opportunity to vote, I now declare the polls for the 2026 Annual Shareholder Meeting closed. As the Inspector of Election, I confirm that the preliminary advisory vote report shows that the nominees for election to the board have been duly elected, and that shareholders have ratified the appointment of CohnReznick LLP as the company's independent registered public accounting firm for the year ended December 31st, 2026.
We will be reporting the final vote results in a Form 8-K to be filed with the SEC within four business days. There being no further business to come before the meeting, the 2026 annual meeting of shareholders of Sunrise Realty Trust is now adjourned.
