It is now my pleasure to turn today's meeting over to Nack Paek, Chairman of the Board and Chief Executive Officer of MetroCity Bankshares, Inc. Mr. Paek, the floor is yours.

Thank you. Good afternoon. I'm Nack Paek, Chairman of the Board and Chief Executive Officer of MetroCity Bankshares, Inc. On behalf of the directors and officers of the company and the bank, I'm pleased to welcome you to our annual shareholders meeting. At this time, I would like to introduce to you the other directors of the company as well as the officers and employees of the bank who are here today. Francis Lai, director and secretary of the company.

Howard Hwasaeng Kim, director, executive vice president, chief lending officer, chief operating officer, and president of the bank. Lucas Stewart, Assistant Secretary, Executive Vice President, and Chief Financial Officer. Abdul Mohdnor, Executive Vice President and Chief Compliance Officer. Now, I would like to call the meeting to order. Francis Lai is the secretary of this meeting and will now present proof of proper holding of the meeting.

As Secretary of this meeting, I have placed on this meeting website the following. A copy of the printed notice of meeting stating the meeting's time, place, and purpose. I suggest that unless specifically requested, we dispense with the reading of the notice. A complete list of shareholders of common stock of the company as of close of business on April 1st, 2022. The record date is set by the board of directors for shareholders entitled to vote at this meeting. This list, which will be kept open for inspection of shareholders throughout the course of this meeting, shows that at the close of business on record date, there were 25,465,236 shares of common stock having a right to vote at this meeting. Any shareholder who has not cast their vote, please do so at this time.

The information of the company that we posted on the virtual meeting website will be available for inspection by the shareholders through the course of this meeting. Pursuant to the authority vested in the chairman by the bylaws of the company, I have appointed Lucas Stewart as the Inspector of Election. The Inspector of Election shall examine and make a count of the shares represented at the meeting by proxy.

There being present by proxy shareholders of record of a majority of the issued and outstanding common shares of the company entitled to vote at this virtual meeting, a quorum is present for all purposes. Lastly, the meeting is declared lawfully and properly convened and competent to proceed to the transaction of business for which it has been called, as stated in the notice.

This virtual meeting has been principally called to vote on the proposal described in the company proxy statement. First, to elect the four persons listed in the proxy statement to serve as Class I directors for a two-year term expiring in 2025 and to elect the one person listed in the proxy statement to serve as Class II director for a one-year term expiring in 2023. In each case, until their successors have been duly elected and qualified. Second, to ratify the appointment of Crowe LLP as the independent auditor of the company for fiscal year 2022.

Thank you, Mr. Chairman. 20,322,330 shares were present in person or by proxy, representing 79.8% of the issued and outstanding common stock entitled to vote. Proposal 1. On the proposal to elect four Class I directors, each for a three-year term, and one Class II director for a one-year term, in each case until the successors have been duly elected and qualified, the votes cast were as follows: For Frank Glover, 17,999,934 shares were voted in favor, representing 67.54% of the issued and outstanding common stock entitled to vote. 310,787 shares were voted against, representing 1.22% of the issued and outstanding common shares entitled to vote.

21 shares were abstained, representing 0% of the issued and outstanding common stock entitled to vote. For Howard Kim, 16,279,998 shares were voted in favor, representing 63.93% of the issued and outstanding common stock entitled to vote. 1,230,723 shares were voted against, representing 4.83% of the issued and outstanding common stock entitled to vote. 21 shares were abstained, representing 0% of the issued and outstanding stock entitled to vote. For Sei Young Lee, 16,224,606 shares were voted in favor, representing 63.71% of the issued and outstanding common stock entitled to vote.

1,266,155 shares were voted against, representing 4.97% of the issued and outstanding common stock entitled to vote. 20,021 shares abstained, representing 0.08% of the issued and outstanding common stock entitled to vote. For Frank S. Rhee, 16,548,737 shares were voted in favor, representing 64.98% of the issued and outstanding common stock entitled to vote. 961,984 shares were voted against, representing 3.78% of the issued and outstanding common stock entitled to vote. 21 shares abstained, representing 0% of the issued and outstanding common stock entitled to vote.

For Sam Shim, 14,989,955 shares were voted in favor, representing 58.86% of the issued and outstanding common stock entitled to vote. 2,500,766 shares were voted against, representing 9.90% of the issued and outstanding stock entitled to vote. 21 shares abstained, representing 0% of the issued and outstanding stock entitled to vote. For proposal two to ratify the appointment of Crowe LLP as the company's independent registered public accounting firm for the year ending December 31st, 2022, the votes cast were as follows. 20,286,637 shares were voted in favor, representing 79.66% of the issued and outstanding common stock entitled to vote.

891 shares were voted against, representing 0% of the issued and outstanding common stock entitled to vote. 34,802 shares abstained, representing 0.14% of the issued and outstanding stock entitled to vote.
